1. Eligibility and authority
You represent that you are legally able to enter this agreement, are at least 21 and the age of majority in your jurisdiction, and have authority to purchase on behalf of any laboratory, company, or organization named in an order.
2. Research-use products
Cellugenix products are supplied as research materials and are not intended for human or veterinary consumption, administration, diagnosis, treatment, prevention, or clinical use. You agree to use, store, transport, and dispose of products only in lawful, appropriately controlled settings and in accordance with product documentation.
You are solely responsible for determining whether a product and its importation, purchase, possession, and proposed use are lawful in your jurisdiction. Review the storage and handling guide and the quality and testing page before ordering.
3. Accounts and website use
You must provide accurate, current information and protect account credentials. You are responsible for activity under your account. You may not use the website to violate law, interfere with security, scrape or copy the service at scale, submit malicious code, impersonate another person, or obtain products for a prohibited purpose.
4. Product information and availability
We aim to present product names, quantities, images, descriptions, prices, and batch documentation accurately. Packaging and non-material visual details may change. A listing is an invitation to place an order, not a guarantee of availability. We may correct errors, limit quantities, refuse or cancel an order, or request additional verification before acceptance.
Certificates of Analysis report results for the identified sample or batch and do not constitute medical advice, a guarantee of experimental outcomes, or authorization for a particular use.
5. Prices, currencies, taxes, and payments
Prices and available payment methods vary by region and may be shown in CAD, USD, or another stated currency. Taxes, shipping, conversion charges, duties, and payment-provider fees may apply. By submitting payment, you authorize the selected provider to process the amount shown and confirm that you are authorized to use the chosen method.
If a payment attempt is incomplete or fails, we may provide instructions for another available method. An order is not paid until payment is confirmed. Never send passwords, complete card details, private keys, or banking credentials by ordinary email or contact form.
6. Order acceptance and fraud review
An automated confirmation acknowledges receipt of an order request; it does not require us to accept or fulfill it. We may hold, refuse, or cancel an order for inventory, pricing, compliance, payment, address, fraud, or safety reasons. If we cancel a paid order before fulfillment, we will arrange the legally required return of funds through an available method.
7. Shipping, customs, and delivery
Delivery estimates are not guarantees. The customer must provide a deliverable address, monitor tracking, and comply with destination laws and customs requirements. Delays or actions by carriers, customs authorities, or other third parties may be outside our control. Review our Shipping Policy for current details.
8. Returns and refunds
Because research products cannot be returned to inventory after chain of custody is broken, all sales are final once packing or fulfillment begins. The complete rules, damage-report process, and mandatory-rights exception are in our Returns & Refunds Policy, which forms part of these Terms.
9. Privacy and communications
Our Privacy Policy explains how personal information is handled. You consent to transactional communications required for accounts, payment, fraud review, fulfillment, delivery, and support. Marketing communications remain subject to applicable consent and unsubscribe requirements.
10. Intellectual property
The website, brand, text, graphics, layout, product photography, code, and other content are owned by or licensed to Cellugenix and are protected by applicable intellectual-property laws. You may use the website for personal or internal business evaluation and purchasing. No other licence is granted.
11. Third-party services and links
Payments, shipping, analytics, social media, and other features may rely on independent providers. Their services are governed by their own terms. We are not responsible for independent sites or services that we do not control.
12. Disclaimers
To the maximum extent permitted by law, the website and products are provided on an “as available” basis. We do not warrant uninterrupted website access, error-free content, experimental outcomes, suitability for a particular protocol, or results from third-party services. Nothing on the website is medical, clinical, legal, or professional advice.
13. Limitation of liability
To the maximum extent permitted by law, Cellugenix and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of data, or loss arising from unlawful use, improper storage or handling, experimental outcomes, third-party services, or events outside our reasonable control. Any aggregate liability arising from an order will not exceed the amount paid for the product giving rise to the claim, except where applicable law prohibits that limitation.
14. Indemnity
To the extent permitted by law, you agree to indemnify and hold Cellugenix harmless from third-party claims, losses, and reasonable costs arising from your unlawful conduct, prohibited use, breach of these Terms, or infringement of another party’s rights.
15. Suspension and termination
We may restrict website or account access when reasonably necessary to protect customers, the business, payment systems, legal compliance, or site security. Provisions that by their nature should survive termination will continue to apply.
16. Governing law and mandatory rights
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Nothing in these Terms excludes a statutory right or remedy that cannot lawfully be waived in your jurisdiction.
17. Changes and severability
We may update these Terms prospectively by posting a revised version and effective date. If any provision is found unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver.
